Terms of Service

These Terms of Service ("Terms") govern your use of Signal Quadrant's MCP intelligence service, website, and related products (collectively, the "Service") operated by Signal Quadrant ("we", "us", "our"). By accessing or using the Service, you agree to these Terms.

1. Not Investment Advice

Signal Quadrant is not a SEBI-registered investment advisor, research analyst, or portfolio manager. The Service provides data, patterns, benchmarks, and statistical intelligence for informational purposes only. Nothing in the Service constitutes a recommendation to buy, sell, hold, or otherwise transact in any security, investment product, or startup equity.

You are solely responsible for your own investment decisions. Signal Quadrant does not guarantee the accuracy, completeness, or timeliness of any data. Past patterns do not predict future outcomes. Startup investing involves substantial risk of loss.

2. Service Description

Signal Quadrant provides an intelligence layer accessible via the Model Context Protocol (MCP) that LLM applications (such as Claude, ChatGPT, and Gemini) can query for Indian startup benchmarks, patterns, and funding data. The Service is offered in two tiers:

• Free tier: Market-level intelligence including cross-sectional patterns, sector benchmarks, and funding percentiles. Limited to 20 queries per day.
• Paid tier: Cohort-specific benchmarks, investor intelligence, per-company pattern implications, and additional tools. Pricing and availability announced separately.

We also offer on-demand Signal Reports, which are separate products governed by individual engagement terms.

3. Acceptable Use

You may use the Service for startup assessment, investment diligence, market research, and benchmarking. You may NOT:

• Scrape, bulk-extract, or systematically download data from the Service
• Redistribute, resell, or sublicense any data obtained from the Service
• Use data from the Service to train, fine-tune, or build machine learning models
• Circumvent rate limits using multiple accounts, IP rotation, or automated tools
• Reverse-engineer the Service, its algorithms, or its data derivation methods
• Use the Service for any unlawful purpose

We reserve the right to suspend or terminate access for any user who violates these terms, without notice.

4. Proprietary Data

All patterns, benchmarks, investor profiles, entity graph data, funding statistics, and derived intelligence served by Signal Quadrant are proprietary. The compilation, structuring, and derivation of this data represent significant original work.

Individual data points (e.g., a single company's funding amount) may be publicly available from other sources. The aggregate dataset, cross-sectional analysis, pattern derivation, and cohort benchmarks are our proprietary intellectual property.

You may cite Signal Quadrant as a source in your own reports, memos, and analysis. Attribution is required: "Source: Signal Quadrant (signalquadrant.com)".

5. Data Accuracy

We make reasonable efforts to ensure data accuracy, but we do not warrant that any data is error-free, complete, or current. Funding data is aggregated from public sources and may contain inaccuracies. Pattern-level statistics are derived from a proprietary assessment corpus and reflect the corpus at the time of computation, not real-time market conditions.

All benchmarks should be treated as directional indicators, not precise measurements.

6. Rate Limits and Access

The free tier is limited to 20 queries per day per user, measured by IP address. This limit resets at midnight UTC. We may adjust limits at any time. Queries to tools/list and /healthz do not count against the limit.

We reserve the right to block or throttle access from any IP address or user that we reasonably believe is abusing the Service.

7. Privacy

Our collection and use of data is governed by our Privacy Policy. By using the Service, you agree to the Privacy Policy.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Signal Quadrant shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use of or inability to use the Service
• Any investment decisions made based on data from the Service
• Any inaccuracy or incompleteness in the data
• Unauthorized access to or alteration of your queries
• Any third party's use of data you obtained from the Service

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or INR 10,000, whichever is greater.

9. Indemnification

You agree to indemnify and hold harmless Signal Quadrant, its operators, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Changes to Terms

We may update these Terms at any time. Material changes will be noted by updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance.

11. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.
